UNACADEMY SPECIAL RANKERS GROUP - TERMS AND CONDITIONS

SORTING HAT TECHNOLOGIES PRIVATE LIMITED (hereinafter referred to as "Unacademy”) has developed a program called the Unacademy Special Rankers Group/UA SRG available at https://srg.unacademy.com/ (hereinafter referred to as (“Program”) which shall be hosted on a mobile application (“UA SRG App”), and a website created, owned, managed and operated by Unacademy for the UA SRG (“ UA SRG Site”) which forms a part of the services offered by Unacademy through its platform which comprises, inter alia of the Unacademy website www.unacademy.com and the Unacademy mobile application (hereinafter referred to as (“Platform”).

This Program is made available to all individuals, subject to the eligibility criteria, who wish to register for the selection test (“Qualifying Test”) (defined below) of the Program, by clicking on any of the prompts, links or other modes of access to the Program that are made available to them, and mandatorily entering the requested details on the sign-up page of the Program, by virtue of which they shall be deemed to be a “Participant/s” of the Program for all intents and purposes. Based on their performance on the Qualifying Test, Unacademy shall contact selected Participants over email, phone and any other mode to invite them to join the Program as a learner (“Learner”) on the Program. Participants and Learners shall be bound by, and subject to, the terms and conditions hereof.

The Program shall provide rigorous and premium content and coaching to Learners with the aim to help the Learners secure ranks in competitive exams (“Exam (s)”) for which coaching is provided as part of the Program such as, but not limited to, IIT JEE.

The Participants and Learners are governed by the terms and conditions hereof (“Program Terms”). Participants and Learners shall also be governed by the Unacademy Terms and Conditions, Privacy Policy and any other policies and guidelines made available on the Platform, to the extent applicable (collectively, the “Platform Terms’). All capitalized terms not defined herein shall have the meaning assigned to it under the Platform Terms.

The Program Terms along with the Platform Terms collectively form a legally binding agreement between any Participant/Learner and Unacademy in respect of use of the Program. By clicking on the ‘I agree’ icon or by submitting to sign up to use the Program, you hereby unconditionally consent, agree, and undertake to be bound by and adhere to these Platform Terms and Program Terms. The Program Terms are, subject to modification by Unacademy and shall continue to subsist as determined by Unacademy at its sole discretion.

Eligibility and Participation

The Program shall be made available to Participants who meet the eligibility criteria on the Platform Terms, including the Age Requirements specified therein. If a Participant does not meet the eligibility criteria or if any of the Platform Terms are not acceptable to the Participant, the Participant may not proceed with using the Program.

All sign-up forms must be submitted directly by the Participants and where the Participants do not fulfil the Age Requirements, then such sign ups should be done with the consent of and under the supervision of their parent or legal guardian in accordance with the Platform Terms.

To enable a Participant to use the Program, we may collect some information which information may be used for various purposes of the Program including to contact the selected Participants who have been selected based on the Qualifying Test, to invite them to be a Learner on the Program and to communicate with them once they become a Learner regarding the Program. For more details, please refer the section on ‘Personal Information’ below.

Qualifying Test

Unacademy does not charge any fee for registration as a Participant or attempting the Qualifying Test. The dates for which the Qualifying Tests are scheduled will be communicated to the Participants in advance on the UA SRG App/Site, Platform or otherwise.

To participate in the Qualifying Test, the Participants are required to follow the following steps:

- Sign in/Log into your account on the UA SRG App/Site

- Participate in the Qualifying Test while it is live and active on the UA SRG Site/ App;

In order to be selected as a Learner for the Program post the Qualifying Test(s), the Participant shall be required to obtain a score beyond the cut-off score which shall be fixed depending on the difficulty level of the Qualifying Test(s) and/or based on such parameters to be determined by Unacademy at its sole discretion and communicated by Unacademy in advance, including based on Participant’s performance in the Unacademy Scholarship Tests (UNSAT), conducted by Unacademy.

The Participants understand that obtaining a high score in the Qualifying Test does not automatically qualify them as Learners under the Program and shortlisting of Participants is based on selection parameters of Unacademy, as determined by Unacademy in its sole discretion.

There is no bar on the number of times a Participant may attempt the Qualifying Test.

Unacademy has endeavoured to make all reasonably practicable arrangements to minimize communication system difficulties or any other technical issues but can make no guarantee thereof and shall not be liable for any failures in the same. Unacademy shall not be responsible and/or liable in any manner whatsoever in case the Participant is unable to participate in the Qualifying Test due to any technical issues or due to issues with their internet provider, hardware, facility provider, etc.

Any Participant found participating in the Qualifying Test through multiple accounts, or found indulging in any fraudulent activities to cheat the tests shall be disqualified immediately and shall not be entitled to become a Learner on the Program. The Participant shall be barred from participating in any future Qualifying Tests at the sole discretion of Unacademy.

The process of selection and the number of Participants shortlisted for the Program as Learners are to be determined, and shall be subject to change, at the sole discretion of Unacademy and the decision of Unacademy shall be final and binding. The Participants are encouraged to check the Program Terms and Conditions and the Platform Terms on a periodic basis to ensure that they do not miss out on any updates and modifications.

Selection as a Learner

Based on the performance on the Qualifying Test, Unacademy shall contact selected Participants to invite them to subscribe to the Program Content (defined below) on the UG SRG App/UG SRG Site for a term of one year (“Term”), which shall be subject to the selected Participants fulfilling certain pre-conditions where applicable as provided below. Unacademy does not accept any responsibility for any incorrect and/or incomplete communication details provided and/or delay in receipt of communication and/or non-receipt of communication.

Participants holding a current Unacademy Plus Subscription and have been selected in the Qualifying Test to become a Learner on UA SRG shall obtain free subscription to the Program Content (defined below).

Participants who do not hold any Plus Subscription to courses on the Unacademy Platform and have been selected in the Qualifying Test to become a Learner on the Program shall receive a non-transferrable, non-redeemable discount coupon on a Plus Course on the Unacademy Platform. Subject to purchasing the Plus Subscription using the discount coupon on the Unacademy Platform, these selected Participants shall obtain a subscription to the UA SRG content and shall qualify as Learners for the Program. The Plus Subscription shall be tied to the Learner’s Participation in the Program.

Any Participant who does not use the coupon code to purchase the Plus Course, where applicable, within the time prescribed, shall not qualify as Learners for the Program and are deemed to have forfeited their eligibility to qualify as a Learner for the Program.

The selection of a Participant as a Learner on the Program shall be subject to the discretion of Unacademy and Unacademy reserves the right to modify the terms for selection of a Participant as a Learner for the Program.

Unacademy shall be well within its rights to reject the Participant or choose another Participant in place of the originally shortlisted Participant if: (a) the documents or details provided by the Participant are invalid/incorrect/incomplete/ misleading /untrue or not acceptable in the opinion of Unacademy; (b) the Participant has not conformed to any of the terms and conditions contained herein; (c) the Participant does not sign the consent form or any other documents required, if any, by Unacademy concerning the Program; or (d) any other reason as may be deemed appropriate by Unacademy.

Terms Applicable to a Learner

Participants who have qualified as Learners for the Program shall be provided with access to the UA SRG content, which includes but is not limited to tests, question banks, audio-visual videos, live and recorded classes (“Program Content”) for the Term.

As a consequence of their selection as a Learner on the Program, Learners who did not previously hold Plus Subscriptions to courses on the Unacademy Platform shall be provided access to a Plus Subscription on the Unacademy Platform which shall be co-terminus with the Learner’s participation in the Program.

Tests shall be conducted at regular intervals to ensure that Learners are able to cope with the Program Content. Learners who do not perform consistently may be served warning notices and Unacademy shall reserve the right to discontinue Learners from the Program who continue to perform poorly on the tests. Upon disqualification from the Program, Unacademy Plus Subscriptions which were made available at a discounted rates to Learners consequent to their selection as Learners on the Program, shall stand terminated or cancelled in accordance with these Terms and Learners shall additionally lose their access to Program Content on the UA SRG App/Site. Learners who had Unacademy Plus Subscriptions prior to joining the Program, will continue to have their subscription for the original term of the subscription, but will lose access to the Program Content on the UA SRG App/Site.

Unacademy, shall at all times, at its discretion reserve the right to disqualify any Learner from the Program for any violation of the Program Terms or Platform Terms.

Unacademy shall not be liable for any loss suffered by any Learner in this regard and shall not entertain any communication, clarification, query, or dispute in this regard by Learners or the parents or legal guardians of the Learners, in any manner. The decision regarding disqualification of Learners shall be final on the part of Unacademy.

There is no bar to disqualified Learners becoming Learners on the Program again by participating in Qualifying Tests.

Upon expiry of the Term, a Learner’s subscription to the Program Content shall be revoked. Learners are free to write the Qualifying Test to qualify as a Learner for the subsequent year.

Ranks

The Participant agrees and acknowledges that by qualifying as a Learner on the Program, the Learner hereby permits Unacademy to claim the Learner’s ranks secured in Exam(s) for the purpose of marketing and promotion of the Program and or Platform.

Personal Information

A Participant’s/Learner’s Personal Information, including Sensitive Personal Information, that may be collected to enable such Participant/Learner to access the UA SRG App/Site to participate in the Program or subscribe to Program Content, to render Services by the Platform shall be collected, processed, and stored in accordance with the Unacademy’s Privacy Policy. Participants/Learners shall have all the rights available to them under the applicable Data Protection Laws in accordance with the Unacademy Privacy Policy.

Unacademy shall use a Participant’s/Learner’s Personal Information for facilitating this Program and rendering the Services with respect to the Program and/or Platform in the most effective manner, to secure the Program and/ or Platform and make improvements, to perform market research and product analysis, to carry out Unacademy’s obligations towards the Participant/Learner, and to communicate with the Participant/Learner. The said communication can either be by calls, text, or emails and for the purposes of facilitating the Program itself, transactional, service, advertising or promotional calls or messages about the Program and/or Platform, other offers, new products or services made available by Unacademy and its Group Companies, and the Participant/Learner hereby consents to the same.

Any deletion request received from a Participant/Learner in respect of their Personal Information shall be processed in accordance with Unacademy Privacy Policy.

Consent And Waiver By Participants

The Participant/Learner hereby consents to the use by Unacademy and its Group Companies of his/her name, age, photograph, videos, voice recordings, rank, statements and/or testimonials (“Personal Attributes”) for the purpose of publication, advertising, promotion on its online platforms, including but not limited to the Platform, and through any mode, medium, platform and/or format, including without limitation, in newspapers, magazines, other print media, on television, radio, internet and other electronic and/or in mailings for educational awareness.

Unacademy may record the Program live classes and such recorded live classes may be made available on the Platform or on other promotional channels of Unacademy. Unacademy shall have the right to use such recorded content, including any participation by the Learner in such recordings. Any testimonial or statements provided by the Participant/Learner and any other details pertaining to their participation in the Program, use of the Platform, content available of the Platform, including Program Content, shall be exclusively provided to Unacademy and the Participant/Learner warrants to that extent.

Any marketing material created by Unacademy using a Participant’s/Learner’s Personal Attributes shall remain the sole property of Unacademy, and the Participant/Learner shall have no claim of any nature against the same.

The Participant/Learner understands that the use of his/her Personal Attributes by Unacademy shall be made at its sole discretion without any further notice to the Participant/Learner. Unacademy shall have no obligation to consider Participant’s/Learner’s inputs or feedback on the use of his/her Personal Attributes.

The Participant/Learner shall release, waive, and discharge claims of any kind or nature arising out of or relating to the use of his/her Personal Attributes against Unacademy or any person or firm authorized by Unacademy to publish the same in accordance with the terms hereof. Such release, waiver and discharge shall also extend to all group companies, affiliated companies, subsidiaries, shareholders, directors, officers, employees, agents and assigns of Unacademy and any publishers of the Personal Attributes in accordance with the terms hereof. Such a release shall be binding on the Participant/Learner, his/her respective successors, heirs, assigns, executors, administrators, spouse and next of kin.

The Participant/Learner hereby confirms that the chance provided by Unacademy to be recognized as a rank-holder in the Exam(s) in accordance with these Program Terms, is sufficient consideration for the use of Participant’s/Learner’s Personal Attributes by Unacademy in accordance with the terms hereof, and Unacademy shall have no liability to pay any consideration for any use of the Participant’s/Learner’s Personal Attributes in accordance with these Program Terms.

Disclaimers

1. Unacademy and/or its subsidiaries/affiliates shall not be under any obligation to the Participant/Learner in relation to the Program and the Participant/Learner shall have no claims whatsoever against Unacademy and/or its subsidiaries/affiliates relating to the selection process or the running of the Program.

2. Unacademy shall not be responsible for any errors or omissions in the terms and conditions contained herein. All information provided is provided “as is” without warranty of any kind. To the fullest extent permitted by applicable law, Unacademy disclaims all warranties, express or implied, including without limitation, implied warranties of merchantability, fitness for a particular purpose, and non-infringement in respect of the Program.

3. Unacademy shall have the sole discretion to discontinue/cancel the Program or any part thereof at any point in time and the Participant/Learner shall not raise any claim due to such discontinuation or cancellation at any time whatsoever.

4. Unacademy shall not be held responsible in case of a server shutdown or loss of Participant’s/Learner’s registration and/or other data. Unacademy shall not be responsible for any delay in receipt or non-receipt or incomplete or corrupt receipt of the registration or, other details of the Participant/Learner. Unacademy shall not be responsible for any technical difficulties or data corruption that may arise during the registration process. Further, Unacademy shall not be responsible and/or liable in any manner whatsoever in case the Participant/Learner is unable to register for participation in the Program due to failure on part of the internet service provider, facility provider, etc.
